These Terms and Conditions of Service form a legal agreement between HunchBuzz Limited (“HunchBuzz”), a duly incorporated company, and the customer (“You”) for krunch collaboration services ("Service"). These Terms of Service should be read in conjunction with the Customer Terms and Conditions of Use and the HunchBuzz Privacy Policy.
HunchBuzz products include HunchBuzz Idea Management and krunch.app collaboration services. This policy applies to all HunchBuzz products.
In addition to the limited licence granted under the Term and Conditions of Use, Customers are also granted a non-exclusive, non-assignable and non-transferable licence to use certain content provided by HunchBuzz under these Terms of Service.
You acknowledge that the Service is licensed to you and that HunchBuzz retains ownership of all right, title and interest to the Service, the Service design and documentation, and all intellectual property rights of the Service.
Customers are entitled to use HunchBuzz Trademarks for the purposes of advertising their use of HunchBuzz as a Service provider. Customers may not misrepresent themselves as HunchBuzz. HunchBuzz retains the right to cancel this licence and replace it if HunchBuzz deems any use of the licensed materials unreasonable.
Your HunchBuzz (including krunch.app) subscription plan may contain certain thresholds on various parameters. For clarity:
An active user is any krunch.app account that can be used to login, so all accounts except deleted users.
An admin account is any user account that has been assigned admin status. Please note, an admin is a regular user and counts towards the active user total.
An active discussions is any discussion that is open to users. You can create as many discussions as you wish but only the number permitted under your plan may be active at any one time.
Orders for HunchBuzz services (including krunch.app) are made using the Service interface provided on the Site. Payments can be made using a credit card or other means supported by the Site.
For the purposes of clarity, all prices and fees are in US Dollars. All payments are to be received in US Dollars, unless otherwise stated.
HunchBuzz reserves the right to decline orders from, or delay provision of the Service to, Customers with outstanding unpaid invoices.
Tax obligations, domestic charges and Import fees are the responsibility of the purchaser. Prices on the Site are final and HunchBuzz includes a sales tax of 15% (Goods and Services Tax) for Customers providing a New Zealand billing address. However, if the Customer is located outside of New Zealand, sales tax will not be included, but the fees will remain the same (sales tax may be applicable depending on where you are located).
HunchBuzz reserves the right to cancel or modify any plan, or thresholds associated with any plan, at its sole discretion.
If you choose to downgrade your plan, we are not liable for the resulting loss of content, features, or capacity.
All of your content will be deleted upon cancellation and we will not be able to recover this information once deleted. We are not liable for any loss resulting from cancellation.
The Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for amounts unused with an open account.
Accounts can be cancelled at any time by deleting your platform under your plan settings in krunch.app or by contacting support@krunch.app. If you cancel your account prior to the start of the next billing period, you will not be charged again. No refunds will be given for the month in which the Service is cancelled. Upon cancelling your account, all data you entered into the Service on that account will be immediately deleted from the Service.
HunchBuzz reserves the right to modify or remove parts of the Services at any time. HunchBuzz may introduce improvements and new features from time to time into the Service, some of which may be made immediately available at no cost to you. Prices for all paid plans of the Service, including but not limited to monthly subscription plan fees, are subject to change upon 30 days notice from HunchBuzz. Notice of price changes may be provided by posting the changes to the Site or the Service itself.
HunchBuzz will not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
HunchBuzz has a policy of not refunding unused credit on fixed term contracts.
On contracts that are month to month a customer must provide at least 30 days notice of their intention to cancel.
HunchBuzz reserves the right to be the sole arbitrator of such complaints, notwithstanding your normal legal rights.
Occasionally, we may need to perform maintenance to keep the Service running smoothly. We will always plan to perform maintenance on weekends.
HunchBuzz and its suppliers’ entire liability and your exclusive remedy shall be, at HunchBuzz’s option, either: a) return of the price paid; or b) the equivalent credit provided to your krunch.a account.
This Limited Warranty is void if failure of the product has resulted from accident, abuse, or misapplication.
HunchBuzz Services are provided on an “as is” basis. HunchBuzz makes no warranties in addition to what is specified on Site, including no warranties of merchantability, fitness for a particular purpose or non-infringement. Customer acknowledges that HunchBuzz does not warrant that the services will be uninterrupted, timely, secure, or error-free.
To the maximum extent permitted by applicable law, in no event shall HunchBuzz or its suppliers be liable for any special, incidental, indirect or consequential damages whatsoever (including without limitation damages for loss of business/educational/research profits, business/educational/research interruption, loss of business/educational/research information, or any other pecuniary loss) arising out of the use of, or inability to use, the product, even if HunchBuzz has been advised of the possibility of such damages.
